🇬🇧 Statutes of the Foundation

 

 

“The Tower of Art – Anna Ajtner Foundation”

 

 

§1. General Provisions

​

1. The foundation operating under the name “Wieża Sztuki – Fundacja Anny Ajtner”, hereinafter referred to as the “Foundation”, established by Anna Krystyna Ajtner-Białożyk, hereinafter referred to as the “Founder”, operates pursuant to the Act of 6 April 1984 on Foundations and these Statutes.

2. The Foundation has legal personality.

3. The registered seat of the Foundation is Bydgoszcz.

4. The area of operation of the Foundation is the territory of the Republic of Poland and abroad.

5. The Foundation may use translations of its name in foreign languages, including:
   The Tower of Art – Anna Ajtner Foundation.

6. The Foundation may establish branches, affiliates, galleries, and representative offices in Poland and abroad.

 

§2. Objectives of the Foundation

​

The objectives of the Foundation are:

1. To promote and support the visual arts, in particular photography, painting, film, design, multimedia, and new media.

2. To conduct activities in the field of artistic, cultural, and aesthetic education.

3. To support women’s artistic creativity and intergenerational initiatives.

4. To organize and develop artistic residencies, workshops, exhibitions, festivals, and international exchanges.

5. To support documentation, archiving, and research related to contemporary art.

6. To promote Polish culture abroad and to develop international cooperation in the fields of art and education.

7. To protect and promote cultural, spiritual, and ecological heritage.

8. To publish publications, catalogues, artists’ books, and educational materials.

9. To support initiatives that combine art, spirituality, and reflection on time and light.

 

§3. Forms of Activity

 

The Foundation pursues its objectives through:

1. Organizing exhibitions, open-air workshops, festivals, workshops, and educational projects.

2. Running residency programs for artists and curators in Poland and abroad.

3. Organizing author meetings, lectures, conferences, and socially engaged artistic activities.

4. Conducting publishing activities (photobooks, catalogues, monographs, educational materials).

5. Cooperating with cultural institutions, universities, schools, and non-governmental organizations.

6. Establishing and operating galleries, studios, exhibition spaces, archives, and collections.

7. Cooperating with international partners in the field of artistic exchange and participation in international art fairs (including Paris Photo, Unseen Amsterdam, Photo London).

8. Granting scholarships, awards, and residencies for artists.

9. Supporting artistic initiatives related to ecology, spirituality, and intercultural dialogue.

 

§4. Assets and Income of the Foundation

​

1. The assets of the Foundation consist of the founding capital in the amount of PLN 1,000 and other assets acquired in the course of its activities.

2. The income of the Foundation is derived from:
   a) donations, inheritances, legacies, grants, and subsidies,
   b) public grants and funds (including the Ministry of Culture and National Heritage, the Adam Mickiewicz Institute, the European Union, municipalities, the Senate of the Republic of Poland),
   c) income from paid statutory activities,
   d) income from business activities (if launched),
   e) income from organizing exhibitions, workshops, publications, and the sale of works of art.

 

§5. Business Activity

​

1. The Foundation may conduct business activity to the extent necessary to achieve its statutory objectives.

2. The scope of business activity shall be determined by the Management Board in the form of a resolution and reported to the National Court Register (KRS).

3. Income generated from business activity shall be allocated entirely to the statutory objectives of the Foundation.

 

§6. Governing Bodies of the Foundation

​

1. The governing body of the Foundation is the Management Board.

2. The Management Board consists of one to three members appointed by the Founder.

3. The Founder may serve as the President of the Management Board.

4. The responsibilities of the Management Board include in particular:
   – managing the activities of the Foundation,
   – administering its assets,
   – accepting donations and grants,
   – adopting plans and reports,
   – making decisions on commencing business activities.

5. The Foundation shall be represented by the President of the Management Board acting independently.

 

§7. Amendment of the Statutes and Dissolution

​

1. Amendments to the Statutes shall be made by the Management Board with the consent of the Founder.

2. The Foundation may be dissolved if its statutory objectives have been achieved or if their implementation becomes impossible.

3. Assets remaining after liquidation may be transferred to purposes consistent with the mission of the Foundation.

 

§8. Final Provisions

​

1. The Foundation is subject to the provisions of the Act on Foundations.

2. These Statutes shall enter into force on the date the Foundation is entered into the National Court Register (KRS).

 

The Statutes of the Foundation “Wieża Sztuki – Anna Ajtner Foundation” were adopted by Resolution No. 1/2025 of the Founder dated 20 November 2025.

„Wieża Sztuki – Fundacja Anny Ajtner”

 

§1. Postanowienia ogólne

 

1. Fundacja pod nazwą „Wieża Sztuki – Fundacja Anny Ajtner”, zwana dalej „Fundacją”, ustanowiona przez Annę Krystynę Ajtner-Białożyk, zwaną dalej „Fundatorką”, działa na podstawie ustawy z dnia 6 kwietnia 1984 r. o fundacjach

oraz niniejszego statutu.

2. Fundacja posiada osobowość prawną.

3. Siedzibą Fundacji jest Bydgoszcz.

4. Terenem działania Fundacji jest obszar Rzeczypospolitej Polskiej oraz zagranica.

5. Fundacja może używać tłumaczenia nazwy w językach obcych, w tym: The Tower  of Art – Anna Ajtner Foundation.

6. Fundacja może ustanawiać oddziały, Filie, galerie i przedstawicielstwa w kraju

i za granicą.

§2. Cele Fundacji Celem Fundacji jest:

 

1. Upowszechnianie i wspieranie sztuk wizualnych, w szczególności fotografii, malarstwa, filmu, designu, multimediów i nowych mediów.

2. Prowadzenie działań w zakresie edukacji artystycznej, kulturalnej i estetycznej.

3. Wspieranie twórczości artystycznej kobiet i działań międzypokoleniowych.

4. Organizacja i rozwój rezydencji artystycznych, warsztatów, wystaw, festiwali oraz wymian międzynarodowych.

5. Wspieranie dokumentacji, archiwizacji i badań nad sztuką współczesną.

6. Promowanie polskiej kultury za granicą oraz rozwijanie współpracy międzynarodowej w dziedzinie sztuki i edukacji.

7. Ochrona i promocja dziedzictwa kulturowego, duchowego i ekologicznego.

8. Wydawanie publikacji, katalogów, książek artystycznych i materiałów edukacyjnych.

9. Wspieranie działań łączących sztukę, duchowość i refleksję nad czasem i światłem.

 

§3. Formy działalności Fundacja realizuje swoje cele poprzez:

 

1. Organizowanie wystaw, plenerów, festiwali, warsztatów i projektów edukacyjnych.

2. Prowadzenie programów rezydencyjnych dla artystów i kuratorów w kraju

i za granicą.

3. Organizowanie spotkań autorskich, wykładów, konferencji i działań społeczno-artystycznych.

4. Prowadzenie działalności wydawniczej (fotoksiążki, katalogi, monografie, materiały dydaktyczne).

5. Współpracę z instytucjami kultury, uczelniami, szkołami i organizacjami pozarządowymi.

6. Tworzenie i prowadzenie galerii, pracowni, przestrzeni ekspozycyjnych, archiwów

i zbiorów.

7. Współpracę z partnerami zagranicznymi w zakresie wymiany artystycznej i udziału w międzynarodowych targach sztuki (m.in. Paris Photo, Unseen Amsterdam,

Photo London).

8. Udzielanie stypendiów, nagród i rezydencji dla twórców.

9. Wspieranie działań artystycznych z zakresu ekologii, duchowoś ci i dialogu międzykulturowego.

 

§4. Majątek i dochody Fundacji

 

1. Majątek Fundacji stanowi fundusz założycielski w wysokości 1 000 zł oraz inne składniki majątkowe nabyte w toku działalności.

2. Dochody Fundacji pochodzą z:

a) darowizn, spadków, zapisów, dotacji i subwencji,

b) grantów i środków publicznych (MKiDN, IAM, UE, miasta, Senat RP),

c) wpływów z działalności statutowej odpłatnej,

d) dochodów z działalności gospodarczej (jeśli zostanie uruchomiona),

e) dochodów z organizacji wystaw, warsztatów, publikacji, sprzedaży dzieł sztuki.

 

§5. Działalność gospodarcza

 

1. Fundacja może prowadzić działalność gospodarczą w rozmiarach służących realizacji celów statutowych.

2. Zakres działalności gospodarczej określi Zarząd w formie uchwały i zgłosi do KRS. 3. Dochód z działalności gospodarczej jest w całości przeznaczany na realizację

celów statutowych.

 

§6. Organy Fundacji

 

1. Organem Fundacji jest Zarząd Fundacji.

2. Zarząd składa się z 1 do 3 osób powoływanych przez Fundatorkę.

3. Fundatorka może pełnić funkcję Prezesa Zarządu.

4. Do kompetencji Zarządu należy m.in.: - kierowanie działalnością Fundacji, - zarządzanie majątkiem, - przyjmowanie darowizn i dotacji, - uchwalanie planów

i sprawozdań ,  podejmowanie decyzji o rozpoczęciu działalności gospodarczej.

5. Fundację reprezentuje Prezes Zarządu samodzielnie.
 

 

§7. Zmiana statutu i likwidacja

 

1. Zmian w statucie dokonuje Zarząd za zgodą Fundatorki.

2. Fundacja może być zlikwidowana, jeśli cele statutowe zostaną osiągnięte lub ich realizacja stanie się niemożliwa.

3. Majątek pozostały po likwidacji może być przekazany na cele zgodne z misją Fundacji.

 

§8. Postanowienia końcowe

 

1. Fundacja podlega przepisom ustawy o fundacjach.

2. Statut wchodzi w życie z dniem wpisania Fundacji do Krajowego Rejestru Sądowego.

 

Statut Fundacji „Wieża Sztuki – Fundacja Anny Ajtner” został przyjęty

uchwałą nr 1/2025 Fundatora z dnia 20 listopada 2025 r.

i uchwałą nr 3/2025 z dnia 29 grudnia 2025r.
